THIS AGREEMENT, including Terms and Conditions incorporated herein, is effective as of either (i) the date of Customer's first use of BIGLIST E-Mailing Services, i.e., transmission of first e-mail message to or from the Customer's e-mailing list(s); or (ii) the last date of signature below ("Effective Date"), between BIGLIST Inc. ("BIGLIST"), a corporation organized and existing under the laws of the State of New York, and the undersigned Customer, whichever date comes first.

WHEREAS, Customer desires BIGLIST to perform certain E-Mailing Services (hereinafter defined); and

WHEREAS, BIGLIST desires to perform such E-Mailing Services on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises herein contained, the parties agree to the terms and conditions set forth as of the Effective Date on the BIGLIST web site ( http://www.BIGLIST.com/contract/termsandconditions.shtml ), entitled "E-Mailing Services Agreement Terms and Conditions", which are incorporated herein in their entirety.

According to Section 4.1 of the "Terms and Conditions," Customer agrees to pay BIGLIST according to prices advertised on the BIGLIST web site.

This Agreement will commence on the Effective Date and continue on a periodic basis.

IN WITNESS WHEREOF, the undersigned are duly authorized to execute this Agreement on behalf of BIGLIST and Customer, as applicable.
