BNA's Electronic Commerce & Law Report reports on I-Sys Inc. v.
Softwares Inc., a recent federal court case from Minnesota in which the
court ruled that acceptance by clickthrough of the terms of a software
license is binding notwithstanding defendants' argument that they gave
consent under protest. The court also rejected arguments that the
licensee was unaware of the earlier, shrinkwrap version of the licenses
and thus was not bound by them, reasoning that defendants knew of the
existence of the licenses based on several references to them contained
in the software development agreements and related invoices.
